Legal Counsel – Contracts & Commercial

About the role

As Legal Counsel – Contracts & Commercial you will act as a trusted legal partner for Helsing’s business teams, providing clear and pragmatic advice on a wide range of commercial matters. You will work closely with sales, partnerships, and product groups to structure, negotiate, and close deals at the forefront of defence technology, while contributing to the development of an AI‑powered legal operating system.

Key responsibilities

• Draft, review, and negotiate commercial contracts such as sales, supplier, software licensing, SaaS, framework agreements, NDAs, teaming agreements, and MoUs with government and defence customers.
• Advise stakeholders on contractual risk, liability, IP ownership, data protection, public procurement law, and export‑control implications.
• Support deal structuring in complex, multi‑jurisdictional and government procurement contexts, ensuring alignment with Finance, Export Control, and Product teams.
• Build and maintain contract templates, playbooks, and standard terms to enable scalable contracting processes.
• Contribute to Helsing Legal’s adoption of AI‑powered tools and help shape a next‑generation legal operating system.

Required profile

• Law degree (first or second state exam, or equivalent qualification).
• Proven track record drafting and negotiating complex commercial contracts.
• Substantial post‑qualified experience in commercial law, ideally with both law‑firm and in‑house exposure.
• Ability to translate nuanced legal risk into practical guidance for non‑legal stakeholders.
