Senior Legal Counsel (Corporate & M&A)

About the role

Freenow by Lyft is looking for a Senior Legal Counsel to shape its corporate governance and M&A strategy across Europe. Based in Hamburg or Berlin, you will act as the primary legal architect for acquisitions while overseeing the lifecycle of its international subsidiaries.

Key responsibilities

• Manage entity lifecycle, corporate secretarial duties and board support for European subsidiaries.
• Draft and negotiate intercompany agreements and support internal reorganisations.
• Provide ongoing corporate law counsel to business units.
• Lead the full M&A process: deal preparation, LOIs, due diligence, and negotiation of SPAs, TSAs.
• Coordinate regulatory approvals and drive deals to completion.
• Design legal integration plans for acquired entities and ensure post‑close governance.
• Oversee global outside counsel, controlling budgets and deliverables across jurisdictions.

Required profile

• Qualified lawyer with at least 5 years of post‑qualification experience in corporate law and M&A.
• Experience in both top‑tier law firms and in‑house roles within fast‑moving tech environments.
• Fluent English; German proficiency is a strong advantage.
• Proven project‑management skills handling multi‑jurisdictional transactions.
• Excellent communication and stakeholder‑influence abilities.
