Strategic Advisor – Legal & Corporate

About the role

We are seeking a Strategic Advisor – Legal & Corporate to help design and maintain the multi‑jurisdictional legal architecture of our AI‑focused lab. The role is advisory, requiring roughly two hours of focused work each month.

Key responsibilities

• Provide guidance on corporate structure decisions, including cap‑table architecture, equity instruments and entity formation across Delaware, Switzerland, EU and Gulf jurisdictions.
• Advise on employment law matters in France, UK, Switzerland, US and Gulf, with particular attention to algorithmic hiring decisions and works council requirements.
• Interpret and apply GDPR provisions, especially Article 9, to ensure compliance for our matching platform.
• Support the drafting and review of technology licensing, API terms of service and marketplace contracts.
• Participate in occasional strategic meetings, offering legal framing for scaling and institutional procurement.

Required profile

• Extensive corporate and M&A experience, including structuring cap tables, Series A/B term sheets and multi‑entity setups.
• Deep knowledge of Delaware incorporation for international companies.
• Multi‑jurisdiction employment law expertise covering France, UK, Switzerland, US and Gulf.
• Hands‑on experience with GDPR implementation and interaction with supervisory authorities.
• Familiarity with algorithmic decision‑making legal exposure and European works council processes.
