Legal Counsel – M&A & Corporate

About the role

Voyfai is building a fast‑growing logistics and technology platform across Europe. As the founding Legal Counsel for M&A and Corporate matters, you will create and lead the legal function, reporting directly to the Co‑Founders and supporting all group entities.

Key responsibilities

• Lead end‑to‑end M&A deal execution, including diligence, SPA/SHA/NDA drafting, negotiation, signing and completion.
• Design and maintain the legal framework for group structures across multiple European jurisdictions.
• Act as a commercial partner, translating legal risk into clear business language.
• Handle commercial contracts, employment matters, and data/AI regulatory issues for the entire group.
• Drive adoption of AI and legal‑tech tools, building templates, playbooks and a precedent library.

Required profile

• 5+ years of legal experience, with 2‑3 years at a firm specializing in corporate, M&A or private equity.
• In‑house experience at a roll‑up, high‑cadence acquirer or scale‑up.
• Hands‑on M&A experience, having drafted and negotiated deals end‑to‑end.
• Strong expertise in SHA and joint‑venture structuring, including minority protections.
• Commercial mindset with the ability to make pragmatic decisions under limited information.
• Fluent in English and German; Syndikusrechtsanwalt qualification is a plus.
