Legal Manager

About the role

We are looking for a Legal Manager to join ARCHIMED’s growing legal team in Lyon. The role will independently manage a diverse portfolio of legal work, including fund formation, M&A transactions and corporate governance for our healthcare‑focused private equity activities. The successful candidate will bring the rigor of top‑tier private practice to an in‑house environment and will be responsible for a specific geographic and competency workstream.

Key responsibilities

• Draft, review and negotiate a variety of commercial contracts across multiple jurisdictions.
• Prepare and review early‑stage transaction documents such as NDAs, letters of intent and term sheets, and support due‑diligence on selected topics.
• Assist investment teams by reviewing engagement letters with advisors, ensuring fee alignment and identifying legal and regulatory risks.
• Provide legal advice on new investment opportunities and existing portfolio companies, highlighting key risks for senior decision‑makers.
• Support functional managers and committees by reviewing commercial agreements and assessing associated legal risks.

Required profile

• Qualified lawyer with experience in private practice or in‑house private‑equity environments.
• Proven ability to work autonomously on complex, multi‑jurisdictional matters.
• Strong understanding of fund formation, M&A and corporate governance within the healthcare sector.
• Excellent analytical and communication skills in English.
