Legal Counsel – Corporate Governance & Capital Markets

About the role

INNIO is seeking an experienced Legal Counsel to join its Corporate Governance & Capital Markets team. The role is based in Munich (with possible accommodation in Jenbach) and focuses on supporting the company’s Nasdaq listing and related regulatory compliance.

Key responsibilities

• Manage all legal tasks linked to INNIO’s Nasdaq listing, including regulatory filings and approvals.
• Support regulatory filings for the company, its shareholders, and management.
• Advise internal processes such as Board of Directors, board committees, and disclosure committee on U.S. securities laws.
• Assist corporate governance and legal entity management across multiple jurisdictions, especially the U.S. and Canada.

Required profile

• Formal qualification in Law, Business Law, Business Administration, or a comparable field from the U.S., Canada, or the EU.
• Minimum 2 years of experience as a lawyer or paralegal, preferably in a securities/capital markets team of a major law firm, securities firm, or U.S.-listed company.
• Strong organizational, drafting, and attention‑to‑detail skills.
• Professional, reliable, discreet, with excellent communication abilities in an international environment.

Required skills

• Knowledge of regulatory processes and U.S. securities laws.
• Understanding of corporate governance and legal entity management.
• Experience preparing corporate documentation and regulatory filings.
