Legal Manager – Private Equity (Lyon)

About the role

ARCHIMED is seeking a Legal Manager to join its growing in‑house legal team in Lyon. The role is designed for a high‑calibre lawyer who can independently manage a diverse portfolio that includes fund formation, M&A transactions, and corporate governance for a leading healthcare‑focused private equity firm.

Key responsibilities

• Draft, review and negotiate a wide range of commercial contracts across multiple jurisdictions.
• Prepare and advise on early‑stage transaction documents such as NDAs, letters of intent and term sheets.
• Provide legal analysis and support on selected due‑diligence topics for investment opportunities.
• Support investment teams by reviewing engagement letters with advisors, ensuring fee alignment and identifying regulatory risks.
• Advise on legal and regulatory risks for new investments and existing portfolio companies, delivering clear guidance to senior investment members.
• Assist functional managers and committees with contract reviews and risk assessments.

Required profile

• Qualified lawyer with experience in private practice or in‑house private‑equity environments.
• Demonstrated ability to work autonomously and manage a varied legal workload.
• Strong knowledge of fund formation, M&A, and corporate governance frameworks.
• Experience handling cross‑border legal matters and multi‑jurisdictional contracts.
• Excellent analytical skills and the capacity to provide concise, actionable legal advice.
