Principal Legal Council – Corporate Law & Financing

About the role

As Principal Legal Council – Corporate Law & Corporate Financing you will lead the legal implementation and evolution of Flix’s group‑wide corporate governance and steer the legal aspects of its financing activities.

Key responsibilities

• Develop and maintain corporate governance frameworks, including rules of procedure, signature regulations, powers of attorney and approval processes.
• Manage the cap table and equity governance, ensuring a single source of truth and close coordination with Finance, Tax and People teams.
• Coordinate shareholder and committee work – convening meetings, drafting minutes, and preparing written resolutions.
• Draft, review and negotiate complex loan and credit agreements such as revolving credit facilities, term loans and syndicated loans.
• Oversee the full financing lifecycle, including amendments, refinancings, extensions, reporting obligations and the legal consequences of reorganisations and M&A transactions.

Required profile

• Fully German‑qualified lawyer with at least 8 years of experience in corporate and financing law, preferably from an international corporate or law‑firm environment.
• Proven experience in negotiating and drafting shareholder agreements, guarantees, security documents and inter‑creditor structures.
• Business‑level fluency in German and English.
• Strong analytical thinking, confident C‑level communication and the ability to manage multiple workstreams in parallel.
• Hands‑on mentality, high self‑motivation and a keen sense for governance risks and solutions.
